Export and Cross-Border Sales Policy

I. Introduction and Purpose of Policy

This policy applies to all distributors, wholesalers and retailers that purchase Legend™ products from Aquacoffeeshop Ltd (“Aquacoffeeshop”, “we”, “us”) and resell them to customers located outside the United Kingdom (“Resellers”).

Many countries regulate the import and sale of aquarium treatments, supplements and equipment. Selling products in a country without the required registration, labelling or compliance with local law can result in civil or criminal penalties for the parties involved. The purpose of this policy is to make sure that Legend™ products sold abroad reach customers safely and lawfully.

This policy is designed to comply with the Competition Act 1998 and the Competition Act 1998 (Vertical Agreements Block Exemption) Order 2022 and, where relevant, Article 101 of the Treaty on the Functioning of the European Union.

II. Freedom to Sell

Resellers are free to sell Legend™ products to customers in any country, including through their own websites, provided that they comply with sections III and IV of this policy. Aquacoffeeshop has not reserved any territory to itself and has not appointed exclusive distributors in any territory at this time. If this changes, we will update this policy and notify Resellers in writing before any change takes effect; any such change will apply only to active sales and only as permitted by law.

III. Compliance in the Country of Destination

A Reseller that sells or ships Legend™ products outside the United Kingdom is responsible for complying with all laws of the destination country, including where applicable:

• product registration, notification or authorisation requirements (some aquarium treatments are regulated as veterinary medicines, biocides or chemicals in certain countries);
• labelling, language and safety information requirements;
• product safety obligations that apply to importers and distributors, such as those under the EU General Product Safety Regulation;
• customs, import VAT, duties and import documentation;
• any restrictions on the import of particular ingredients or products.

Our International Terms of Sale set out how customs duties and taxes are handled when we ship abroad on a Reseller’s behalf.

IV. Prohibited Destinations

Legend™ products must not be sold or supplied, directly or indirectly, to any country, organisation or person where this would breach United Kingdom or other applicable sanctions or export control laws, or to any country where the sale of the product concerned is not permitted by local law.

V. Information and Support

Resellers who export Legend™ products on a regular basis are asked to let us know the countries they supply. This allows us to provide safety data sheets, product information, commodity (HS) codes and origin documentation that may help with registration and customs clearance. Providing this information does not limit the Reseller’s freedom to sell.

VI. Responsibility for Non-Compliance

A Reseller that exports Legend™ products is responsible for its own compliance with the laws described in sections III and IV. The Reseller agrees to indemnify Aquacoffeeshop against fines, penalties, taxes and reasonable costs that Aquacoffeeshop incurs as a direct result of the Reseller’s failure to comply with those laws.

Where a Reseller breaches section IV, or repeatedly breaches section III after being notified in writing and given a reasonable opportunity to remedy the issue, Aquacoffeeshop may suspend supply of the products concerned to that Reseller. No action will be taken under this policy on the basis of a Reseller’s prices, or because a Reseller responds to unsolicited orders from customers in any country.

VII. Changes and Questions

Aquacoffeeshop may update this policy from time to time; the current version is always published on this page. Questions about this policy should be sent in writing to sales@aquacoffeeshop.com.
