I. Introduction and Purpose of Policy

This policy applies to all businesses that purchase Legend™ products from Aquacoffeeshop Ltd for resale (hereinafter “Resellers”).

Aquacoffeeshop Ltd (“Aquacoffeeshop”, “we”, “us”) designs and manufactures Legend™ aquarium care products. We have invested significantly in the quality, safety and reputation of the Legend™ brand. This policy explains how we support our Resellers, how our brand and product information may be used, and the standards we expect whenever Legend™ products are presented to customers.

This policy is designed to comply with the Competition Act 1998 and the Competition Act 1998 (Vertical Agreements Block Exemption) Order 2022 in the United Kingdom and, where sales may affect trade within the European Union, with Article 101 of the Treaty on the Functioning of the European Union and Commission Regulation (EU) 2022/720. Nothing in this policy shall be interpreted or applied in a way that restricts a Reseller’s freedom to determine its own prices.

II. Pricing

Recommended Retail Prices

Aquacoffeeshop may publish or communicate recommended retail prices (“RRPs”) for Legend™ products. RRPs are recommendations only and are not binding.

Freedom to set prices

Resellers are entirely free to set their own resale prices and their own advertised prices, online and offline, including prices below the RRP, discounts, promotions, coupons and bundles.

No pressure on prices

Aquacoffeeshop will not impose minimum resale or minimum advertised prices, will not monitor Resellers’ prices for the purpose of enforcing RRPs, and will not apply incentives, penalties, restrictions of supply, changes to trading terms or withdrawal of brand content because of the prices a Reseller charges or advertises.

Our staff and sales representatives are instructed not to discuss or agree resale prices with Resellers. We ask Resellers not to discuss their own resale prices, or the prices of other Resellers, with us.

III. Authorised Resellers

Aquacoffeeshop sells Legend™ products to businesses holding an approved trade account. Applications are assessed against objective, qualitative criteria that are applied in the same way to all applicants, such as:

• operating as a genuine business trading in aquarium, pond or pet products;
• the ability to give customers accurate advice on the correct and safe use of the products;
• storing and handling products correctly, within their shelf life and protected from heat, frost and direct sunlight;
• compliance with applicable law, including consumer protection, product labelling and, where relevant, animal welfare requirements.

IV. Online Sales

Resellers may sell Legend™ products online through their own websites and other online channels. When doing so, Resellers should:

• use accurate and up-to-date product names, descriptions, ingredients, dosage and safety information;
• present products in a professional manner consistent with the quality of the Legend™ brand;
• not sell expired, damaged, tampered-with, repackaged or relabelled products.

Aquacoffeeshop may set reasonable quality standards for the sale of Legend™ products through third-party online marketplaces. Any such standards relate only to how products are presented, stored and supplied – never to price – and will not prevent Resellers from using the internet to sell.

V. Use of the Legend™ Brand and Content

“Legend”, “LGND” and the related logos are trade marks of Aquacoffeeshop Ltd. Resellers may use our official product images, logos and descriptions solely to promote and sell genuine Legend™ products, provided that:

• images and logos are not altered in a way that is misleading or harmful to the brand;
• the Reseller does not present itself as Aquacoffeeshop, as the manufacturer, or as an exclusive or “official” distributor unless authorised in writing;
• no health, medical or performance claims are made beyond those published by Aquacoffeeshop.

Permission to use our content is never conditional on, and will never be withdrawn because of, a Reseller’s prices.

VI. Product Safety and Regulatory Compliance

Resellers must supply Legend™ products with their original labelling and safety information. Resellers selling outside the United Kingdom are responsible for complying with the laws of the countries in which they sell, including any language, labelling, registration or chemical safety requirements. Resellers should inform Aquacoffeeshop promptly of any safety concern or product complaint.

VII. Territories and Cross-Border Sales

Resellers are free to respond to unsolicited orders from customers located in any territory. Any limitation on actively selling into particular territories will only be agreed in writing, and only where permitted by applicable competition law. Resellers must observe applicable export controls, customs rules and the regulatory requirements of the destination country.

VIII. Non-compliance

If a Reseller does not follow sections IV, V or VI of this policy, Aquacoffeeshop will contact the Reseller in writing, explain the concern and allow a reasonable period to resolve it. The Reseller may respond and provide information before any decision is made. Where a serious or repeated issue is not resolved, Aquacoffeeshop may suspend or withdraw permission to use its brand content, or review the Reseller’s trade account.

No action will ever be taken under this policy on the basis of a Reseller’s resale or advertised prices.

IX. Changes and Questions

Aquacoffeeshop may update this policy from time to time. The current version is always published on this page. Questions about this policy should be sent in writing to sales@aquacoffeeshop.com.

X. Governing Law

This policy is governed by the laws of England and Wales. Nothing in this policy limits any rights a Reseller has under applicable law.

XI. Definitions

“Reseller” means any business that purchases Legend™ products from Aquacoffeeshop Ltd, directly or through an approved distributor, for the purpose of resale.

“RRP” means a non-binding recommended retail price published or communicated by Aquacoffeeshop.

“Legend™ products” means products manufactured by or for Aquacoffeeshop Ltd under the Legend™ or LGND brands.
